Terms of Service

These Terms of Service ("Terms") are a binding agreement between Progma, Inc. ("Progma", "we", "us", or "our") and the institution or person that accesses or uses our platform, websites, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an institution, you represent that you have authority to bind that institution.

1. The Service

Progma provides a programming-education platform that lets institutions manage programming courses, create activities and assessments, execute and grade submitted code, and assist teachers and students with related tooling. The Service is sold to institutions (schools and universities), not to individual members of the public.

2. Accounts and eligibility

  • Provisioning, not self-registration. Accounts are created by Progma platform administrators or by an institution's administrators. There is no public self-service registration. Single sign-on (for example, Google), where enabled for your account, is an alternative login method for already-provisioned accounts, not a way to create new accounts.
  • Roles. Access is governed by roles, including platform administrator, institution administrator, teacher, and student. Each role has different permissions.
  • Accuracy. You must provide accurate account information and keep it current.
  • Account security. You are responsible for safeguarding credentials and for all activity under your account. Where you enable two-factor authentication, this includes your authenticator device and the backup codes issued to you; if you lose access to both, Progma may need to reset two-factor authentication on your account before you can sign in again. Notify us promptly of any unauthorized use at support@progma.app.
  • Minors. Students may include minors. Institutions are responsible for obtaining any consents required under applicable law for students to use the Service. See the Privacy Policy and Data Processing Agreement.

3. Institution and end-user responsibilities

  • The institution is responsible for its administrators, teachers, and students and for their compliance with these Terms.
  • The institution is responsible for the lawfulness of the personal data it provides or directs us to process, and for the relationship with its data subjects.
  • You agree to use the Service only for lawful educational purposes and in accordance with the Acceptable Use Policy, which is incorporated into these Terms by reference.

4. Acceptable use

Your use of the Service is subject to the Acceptable Use Policy. Prohibited activity includes, without limitation, abusing the code-execution environment, attempting to compromise platform security or isolation between institutions, misusing AI features, and infringing the rights of others.

5. Customer content

  • Your content. "Customer Content" means content submitted to the Service by or on behalf of an institution and its users, including course materials, problem statements, test cases, code submissions, and similar materials.
  • Ownership. As between the parties, the institution and its users retain all rights they hold in Customer Content. We do not claim ownership of it.
  • License to operate the Service. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Content solely to provide, secure, and support the Service and as otherwise permitted under the Privacy Policy and Data Processing Agreement.

6. AI-assisted features

The Service includes optional AI-assisted features (for example, problem and test-case generation and an in-product assistant). AI output may be inaccurate or incomplete. You are responsible for reviewing AI output before relying on it, including for grading, assessment design, or instructional use. AI features may rely on third-party AI providers identified in our Sub-processors list.

7. Code execution

The Service executes submitted code in a constrained environment provided by a third-party execution backend, subject to resource limits (such as time, memory, and output limits). You must not use the execution environment to run malicious code, perform network attacks, mine cryptocurrency, or otherwise act contrary to the Acceptable Use Policy.

8. Fees and billing

  • Fees are set out in a written quotation accepted by the institution. Billing is described in the Refund & Billing Policy.
  • Unless a quotation states otherwise, fees are quoted and payable in Philippine Pesos (PHP) and are exclusive of applicable taxes.
  • Non-payment may result in past-due status, service warnings, and—where applicable—suspension of write access to the Service, as described in the Refund & Billing Policy.

9. Service availability and changes

We may modify, suspend, or discontinue features of the Service from time to time. We aim to provide reasonable continuity for institutional customers but do not guarantee uninterrupted availability. Planned maintenance and material changes will be communicated through reasonable means.

10. Suspension and termination

  • We may suspend or limit access where required to protect the Service, other customers, or to address a violation of these Terms, non-payment, or a legal obligation.
  • Either party may terminate as provided in the applicable quotation or written agreement. Upon termination, the institution's right to access the Service ends. Data handling on termination is described in the Privacy Policy and Data Processing Agreement.

11. Intellectual property

The Service, including its software, design, and documentation, is owned by Progma and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to use the Service, no rights are transferred to you.

12. Disclaimers

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that AI output or automated grading will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability arising out of or relating to the Service will not exceed the fees paid by the institution for the Service in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

The institution agrees to indemnify Progma against third-party claims arising from the institution's Customer Content or its breach of these Terms, subject to limitations.

15. Governing law and venue

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in Cebu City, Cebu, Philippines, except where applicable law requires otherwise.

16. Force majeure

Neither party will be liable for any delay in or failure to perform its obligations (other than payment obligations) to the extent the delay or failure is caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, earthquake, storm, epidemic or pandemic, war, terrorism, civil unrest, government action or restriction, labor disputes, and failures or disruptions of utilities, internet or telecommunications services, or third-party providers (including hosting, code-execution, and AI providers identified in our Sub-processors list). The affected party will make reasonable efforts to notify the other party and to resume performance as soon as practicable. If a force majeure event prevents performance for an extended period, either party may terminate as provided in the applicable quotation or written agreement.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by updating the "Last updated" date and, where appropriate, notifying institution administrators). Continued use of the Service after changes take effect constitutes acceptance.
